Lex Consulta Advises on One of the Largest Sale and Leaseback Transactions in the Baltics

Lex Consulta is pleased to announce its role as legal counsel in the successful completion of one of the most significant sale and leaseback transactions in the Baltic real estate market to date.

Our legal team, led by Esfira Zaslavskaite, Shareholder at Lex consulta, together with Senior Associate Simona Šimoliūnė, advised PREF IV, a real estate investment fund managed by Prosperus Asset Management, in connection with the acquisition of an industrial property occupied by VMG Technics in Klaipėda, Lithuania.
The transaction concerned a state-of-the-art 21,000 sq. m. industrial facility, developed according to advanced sustainability standards, and currently operated by VMG Technics for the development of robotics, automation, and artificial intelligence solutions for the international market. Pursuant to the sale and leaseback structure, the seller will continue operations at the site under a long-term lease arrangement.
This transaction reflects a growing trend in the Baltic real estate and private capital markets, where high-value industrial assets are being monetized to support business expansion, while simultaneously offering institutional investors stable, income-generating opportunities.
Proceeds from the deal will be directed toward the continued growth of VMG Technics, further strengthening the company’s position as a regional leader in high-tech industrial innovation. Following the acquisition, the PREF IV fund’s assets under management increased to EUR 80 million, with projected annual rental income reaching EUR 6.5 million.
